These Terms and Conditions (“Terms”) govern your use of our services, including but not limited to Odoo ERP implementation, Microsoft Cloud solutions, customization, training, data migration, technical support, and consultancy (collectively, “Services”), as well as your access to our website (sanarise.com.sy).

    By engaging with our Services, you agree to be bound by these Terms. If you do not agree, please refrain from using our Services.

    • Odoo ERP implementation, localization, and customization.
    • Microsoft 365 and Azure Cloud migration services.
    • Specialized NGO/Non-Profit technology consultancy.
    • Training, onboarding, and technical support.

    These Services aim to streamline your business operations, such as accounting, supply chain, HR, and project management, in compliance with GCC standards.

    4. User Obligations

    By using our Services, you agree to:

    • Provide accurate, complete, and up-to-date information.
    • Use the Services only for lawful purposes and in compliance with the laws of the Sultanate of Oman.
    • Not misuse, reverse-engineer, or interfere with our Services or the Odoo/Microsoft platforms.
    • Refrain from actions that infringe on the intellectual property rights of third parties or Sana Global.

    5. Payment Terms

    • Fees: The cost of our Services will be detailed in the specific Quotation or Statement of Work (SOW) provided to you.
    • Payment: Invoices are due within 30 days of issuance unless otherwise agreed in writing. Late payments may incur administrative fees or service suspension.
    • Currency: All payments shall be made in Omani Rials (OMR) unless specified otherwise (e.g., USD for international contracts).

    6. Intellectual Property

    • Ownership: The core platforms (Odoo, Microsoft) remain the property of their respective vendors. Any custom modules, code, or configurations developed by Sana Global remain our intellectual property until full payment is received and rights are transferred in writing.
    • License: You are granted a non-exclusive, non-transferable right to use the provided solutions for your internal business purposes.
    • Restrictions: You may not resell, distribute, or copy our proprietary code without prior written consent.

    7. Data Protection

    Your personal data is processed in accordance with our Privacy Policy and the Personal Data Protection Law (Royal Decree 6/2022) of Oman. By using our Services, you consent to the collection and processing of your data as outlined therein.

    8. Liability Limitation

    • Scope: Sana Global Intelligent Systems shall not be liable for indirect, incidental, or consequential damages (e.g., loss of profits, data corruption) arising from the use of our Services, except in cases of proven gross negligence.
    • Limit: Our total liability is strictly capped at the total amount paid by you for the specific Service giving rise to the claim during the preceding 12 months.
    • Disclaimer: We do not guarantee uninterrupted or error-free performance due to factors beyond our control (e.g., ISP outages, third-party vendor downtime).

    9. Termination

    • By You: You may terminate our Services by providing 30 days’ written notice, subject to settling all outstanding invoices.
    • By Us: We may suspend or terminate your access without notice if you breach these Terms or fail to settle payments.

    10. Force Majeure

    Sana Global Intelligent Systems shall not be liable for delays or failures in performance due to events beyond our reasonable control, such as natural disasters, government acts, internet infrastructure failures, or acts of war.

    11. Governing Law and Jurisdiction

    These Terms are governed by the laws of the Sultanate of Oman. Any disputes arising from or related to these Terms shall be resolved exclusively by the competent courts of Muscat, Oman.

    12. Amendments

    We reserve the right to update these Terms at our discretion. Changes will be posted on our website. Continued use of our Services after such changes constitutes acceptance.
